What will you do?
- Drafting, revision and coordination of corporate governance documentation (e.g. Articles of Association, Rules of Procedure, shareholders’ resolutions).
- Organization and administration of respective Board of Directors.
- Coordination of decision-making processes across the Group for various companies.
- Ensuring alignment of group companies with Elevion / ČEZ governance standards.
- Managing and coordinating corporate changes across group entities (appointments, structural and capital changes).
- Providing legal support in corporate governance matters across multiple jurisdictions.
- Cooperation with external legal advisors and internal stakeholders on governance-related topics.
- Participating in selected projects within governance and, to a limited extent, compliance within the Group.
- Providing ad hoc support in compliance-related activities (e.g. internal processes, policies, compliance checks, compliance trainings or revision and creation of internal regulations).
- Drafting, revision and administration of minutes of general and supervisory board meetings, decisions and resolutions of the company’s bodies.
- Develop and maintain effective KYC and AML internal processes.
- Collaborate with cross-functional teams to provide governance and compliance guidance.
- Supervising and coordinating the day-to-day administration of selected companies.
- Taking care of any additional matters related to governance and compliance assistance to the companies.
- Report compliance/governance - related issues to senior management.
- Participate ad-hoc in the development and delivery of compliance training programs.
What do we expect from you?
- Master's degree in Law with strong focus on corporate law, Finance, Business, or related field.
- Team worker with sense of detail.
- Knowledge of governance and corporate law [Czech, EU and preferably other foreign jurisdiction(s)].
- Experience on a similar position or position within the legal services min. 3 years (may be during your studies) preferably in a multinational corporate environment.
- Collaborative, growth mindset colleague who is able to get their “hands dirty” and assist with a variety of tasks.
- Experience in a Governance role in the Energy sector is an advantage.
- Basic understanding of compliance frameworks (e.g. CMS, internal policies) is an advantage.
- Ability to work independently and take ownership of governance-related processes.
- Strong analytical and problem-solving skills.
- Ability to adapt to a dynamic international environment.
- Knowledge of foreign languages:
Must have: English (minimum C1)
Strongly preferred: Czech, German - Considered as an advantage: Italian, Spanish or other languages.

This is a fixed-term position offered as maternity and parental leave cover.
